Carnival ceo Donald's compensation rises to $9.9m

Arnold Donald, president and ceo of Carnival Corp. & plc, received compensation valued at nearly $9.9m in 2016, up from $9.4m the year before.

Donald's salary stayed flat at $1m, but the value of stock awards was higher, $4.6m, up from $3.5m in 2015. His non-equity compensation of $4m was down from $4.6m. In other compensation of $242,000, the biggest single item was $98,500 for personal use of the company's aircraft.

The second best compensated executive, Alan Buckelew, who was chief operations officer through fiscal 2016 (and is now chief information officer), received a total package valued at $4.8m, up from $4.7m. His salary held at $825,000. Stock awards were valued at $2.1m, up from $1.6m. Non-equity incentive compensation was just under $1.7m, compared to $1.9m the year before. Other compensation was $193,500, for items like health insurance and a car lease.

For Stein Kruse, ceo, Holland America Group, total compensation increased to just under $4.7m, up from $4m, including a salary of $825,000. Stock awards were worth $2.1m, up from $1.6m, non-equity incentive compensation was nearly $1.7m, up from $1.5m, and Kruse received $83,000 in other compensation.

CFO and chief accounting officer David Bernstein's total package rose to $4m from $3.8m. Stock awards were valued at $1.6m, up from $1.2m. His salary held at $700,000. Non-equity incentive compensation was $1.4m, versus more than $1.6m in 2015. Other compensation was $257,000.

Total compensation for Michael Thamm, ceo of the Costa Group (who also became ceo, Carnival Asia, in early December 2016), went to $3.5m from $3.4m. Paid in euros, Thamm's salary in dollars was $777,000. The value of Thamm's stock awards went up to $1.5m from $1.1m, and non-equity incentive compensation was $1m, down from $1.2m. Other compensation was $214,000, consisting mainly of $133,000 for living accommodations; other items included $43,000 for a driver and security.

Carnival is required to disclose the compensation of its ceo, cfo and the other three most highly paid officers. Since 2015, Carnival Corp. chairman Micky Arison has not been a named officer because his compensation doesn't put him among the three best paid executives.

Since he's a director, though, some of Arison's compensation is reported in a proxy. He received $1m for his services as chairman, plus $97,000 in other compensation, consisting of health insurance, driver and security, a car lease and other benefits.

The executive compensation is in a proxy ahead of Carnival Corp. & plc's joint annual shareholders meetings set for April 5 in London.

Besides being asked to approve executive pay in an advisory vote, shareholder agenda items include a vote on Helen Deeble, ceo of P&O Ferries Division Holdings, as a director (following her appointment to the board in July 2016). Shareholders will also consider the re-election of directors Arison, Donald, Sir Jonathon Band, Dick Glasier, Debra Kelly-Ennis, Sir John Parker, Stuart Subotnick, Laura Weil and Randall Weisenburger.
