Carnival Corp. prices $2bn senior unsecured notes offering

Carnival Corp. priced its private offering of $2bn in 6% senior unsecured notes due 2029.

Net proceeds will be used to make scheduled principal payments on debt during 2022 and for general corporate purposes, including any payments related to vessels' ready-for-sea costs to the extent these amounts are not covered by existing and future export credit facilities.

The offering is expected to close Nov. 2.

Guaranteed on an unsecured basis

The notes will be guaranteed on an unsecured basis by Carnival plc and certain of the company's and Carnival plc's subsidiaries that own or operate vessels and material intellectual property and that guarantee certain first-priority and second-priority secured debt.

The notes are being offered only to qualified institutional buyers outside the US.
