Carnival CEO Josh Weinstein's compensation near $14m

This came in a year when company revenues hit an all-time high of $21.6b and net income turned positive, $1.07b, in the third quarter following pandemic-era losses.

Weinstein's compensation includes a $1.25m salary, stock grants valued at $7.46m and non-equity incentive plan compensation of $4.65m. 'Other compensation' of $447,792 included such items as contributions to a 401(k) plan, insurance and a car lease or allowance.

The $13.8m total compares to the $8.01m of 2022, when Weinstein ascended to CEO in August following Arnold Donald's retirement.

David Bernstein

CFO/Chief Accounting Officer David Bernstein's 2023 compensation rose to $8.86m, up from $2.58m. Bernstein's salary was flat at $850,000 but stock grants were $5.43m compared to zero in 2022 and non-equity compensation increased by almost $1m, to $2.23m.

Michael Thamm

Michael Thamm, former group CEO of Costa Group & Carnival Asia, received compensation valued at $2.89m in 2023. He exited in April that year.

Bill Burke

Chief Maritime Officer Bill Burke, who became a named officer for the first time in 2022, had 2023 compensation valued at $2.56m, up from $1.28m the year before. HIs salary increased to $700,00 from $641,333 but the main gains were in stock grants and non-equity compensation.

Rick Miguez

General Counsel Rick Miguez received compensation valued at more than $2.51m, up from $1.1m in 2022. His salary increased to $600,000 from $500,000, but stock grants, in particular, and non-equity compensation drove the increase.

Bettina Deynes

And Chief Human Resources Officer Bettina Deynes, who became a named officer for the first time, had total compensation of $1.46m, including a salary of $425,000.

Annual shareholders meeting April 5

The Carnival Corp. and Carnival plc annual meetings are scheduled for April 5 in Miami. Shareholders will consider the election of a 12th director, Nelda Connors, and the re-election of directors Micky Arison (chairman), Sir Jonathon Band, Jason Glen Cahilly, Helen Deeble, Jeffrey Gearhart, Katie Lahey, Sara Mathew, Stuart Subotnik, Laura Weil, Josh Weinstein and Randall Weisenburger. 

They'll also consider matters including a (non-binding) advisory vote on executive compensation and granting general authority for share buybacks.
